Types of Equity Issuance

A company receives bonus money when it sells its shares at a price higher than their par value. What to understand and learn from the issue of shares at premium journal entries depends on each case, different entries or instances are passed. Common stock comes with several features, such as the right to receive dividends and vote in the company’s matters. Therefore, the common stock does not come with guaranteed distributions.

The discount on capital is part of shareholders’ equity and it appears as a deduction from other equity accounts on balance sheet. The company charges $150 per share for this issuance, making the overall finance received $150,000. However, the par value of those shares is $100, making the total par value of those shares $100,000. The journal entries for the issuance of common stock impact three accounts. The first involves the debit side, which usually includes the account to record the compensation.

The bonds were convertible into Tesla common stock at a conversion price of $327.50 per share. When a company issues convertible debt, it must separate the debt component from the equity component. This separation is necessary because convertible debt includes an embedded option that allows the holder to convert the debt into equity. The allocation of the proceeds between debt and equity components is based on the fair value of the debt without the conversion feature.

The number of issued shares is often less than the number of authorized shares. For example, if a corporation has a total stockholders’ equity of $78,000 and 2,000 shares of common stock outstanding, the book value per share would be $39.00. The book value per share of common stock is calculated by dividing the total stockholders’ equity by the number of shares of common stock outstanding. This is a straightforward calculation that can be easily performed with the right numbers. The number of outstanding shares is always less than or equal to the number of issued shares. A corporation with 2,000 shares of stock outstanding has already issued those shares to investors.

Issuance of Convertible Securities

Facebook’s IPO was a significant event in the company’s history, raising $16 billion by issuing 421.2 million shares at $38 per share. This massive influx of cash enabled Facebook to expand its business operations and make strategic acquisitions. Directors may authorize other stock split ratios, such as a 3-for-2 stock split or a 4-for-1 stock split, to achieve their desired market value per share. The number of shares outstanding will double, but the total dollar amount of the shares remains the same. Outstanding shares can change over time due to reacquisitions or new issuances.

However, if the fair value of the shares of the common stock giving up cannot be determined, the fair value of the service expense will be used instead. In this case, we will record the land in the balance sheet as $50,000 ($10,000 x 5,000 shares) even though the land was put on sale for a different price (e.i. $60,000).
